Welcome to Opsmatic. These terms govern your use of our services and outline our mutual responsibilities. By using Opsmatic, you agree to these terms. 1. Definitions
"Service" means the Opsmatic platform, including both free and paid subscription tiers. "Account" means your registered user account on our platform. "Content" means any data, information, or materials you upload or create using our Service. "Subscription" means your paid plan providing access to premium features.
2. Acceptance of Terms
2.1. By creating an account or using our services, you confirm that you are at least 16 years old or have appropriate legal capacity to enter into this agreement.
2.2. If you are acting on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.
2.3. These Terms of Service form a legally binding agreement between you and Cottonhat Software Unipessoal LDA.
3. Service Description
3.1. Opsmatic provides Automation platoforms monitoring, including but not limited to: -- Managed Invoicing and Billing via Stripe -- Credential Management -- Workflow Cost analysis and reporting
3.2. We offer both free and paid subscription tiers with different feature sets and usage limits.
3.3. Service features and availability may vary between subscription tiers and are subject to change with reasonable notice.
4. Account Registration and Security
4.1. You must provide accurate and complete information when creating your account.
4.2. You are responsible for maintaining the confidentiality of your login credentials.
4.3. You must notify us immediately of any unauthorized access to your account.
4.4. One person or legal entity may not maintain more than one free account.
5. Subscription Plans and Billing
Free Tier 5.1. Our free tier provides limited access to Opsmatic features with usage restrictions.
5.2. Free accounts may be subject to additional limitations including but not limited to storage limits, feature restrictions, and usage quotas.
Paid Subscriptions 5.3. Paid subscriptions are billed monthly or yearly in advance.
5.4. All fees are non-refundable except as required by applicable consumer protection laws.
5.5. We may change subscription pricing with 20 days' written notice.
5.6. Your subscription will automatically renew unless cancelled before the renewal date.
5.7. EU customers may be subject to VAT at the applicable rate. VAT will be calculated and added to your bill where required.
Cancellation 5.8. You may cancel your subscription at any time through your account settings.
5.9. Cancellation takes effect at the end of your current billing period.
5.10. Upon cancellation, your account will revert to free tier limitations.
6. Acceptable Use
6.1. You agree to use Opsmatic only for lawful purposes and in accordance with these terms.
6.2. You may not: -- Violate any applicable laws or regulations -- Infringe on intellectual property rights -- Upload malicious code or engage in harmful activities -- Attempt to gain unauthorized access to our systems -- Use the service to spam or harass others -- Resell or redistribute access to the service without authorization
6.3. We reserve the right to investigate violations and take appropriate action, including account suspension or termination.
7. Data and Privacy
7.1. Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy.
7.2. For EU users, we comply with the General Data Protection Regulation (GDPR).
7.3. You retain ownership of content you upload to our service.
7.4. By using our service, you grant us necessary rights to process your content to provide the service.
7.5. We implement appropriate technical and organizational measures to protect your data.
7.6. You may request deletion of your personal data in accordance with applicable data protection laws.
8. Intellectual Property
8.1. Opsmatic and all related intellectual property rights belong to Cottonhat Software Unipessoal LDA.
8.2. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use our service.
8.3. You may not reverse engineer, copy, or create derivative works of our service.
8.4. Any feedback or suggestions you provide may be used by us without compensation.
9. Service Availability and Support
9.1. We strive to maintain 99% uptime but do not guarantee uninterrupted service.
9.2. We may perform maintenance that temporarily affects service availability.
9.3. Support levels vary by subscription tier: -- Free tier: Community support and documentation -- Paid tiers: Email priority support during business hours
10. Limitation of Liability
10.1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
10.2. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.
10.3. Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you.
11. Indemnification
11.1. You agree to indemnify and hold us harmless from claims arising from your use of the service or violation of these terms.
12. Termination
12.1. Either party may terminate this agreement with 14 days' notice.
12.2. We may immediately suspend or terminate your account for: -- Violation of these terms -- Non-payment of fees -- Illegal or harmful activities
12.3. Upon termination: -- Your access to the service will cease -- You may download your data for 30 days days -- All outstanding fees become immediately due
13. EU Consumer Rights
13.1. If you are an EU consumer, you have additional rights under applicable consumer protection laws.
13.2. Nothing in these terms limits your statutory rights as a consumer.
13.3. You may have a right of withdrawal for subscriptions purchased online within 14 days.
14. Dispute Resolution
14.1. We encourage resolving disputes through direct communication first.
14.2. EU consumers may access the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/.
14.3. Any disputes will be resolved through binding arbitration or in the courts of Portugal.
15. Changes to Terms
15.1. We may update these terms with 14 days' notice.
15.2. Continued use of the service constitutes acceptance of updated terms.
15.3. If you disagree with changes, you may terminate your account.
16. Governing Law
16.1. These terms are governed by the laws of Portugal.
16.2. Any disputes will be resolved in the courts of Lisbon, Portugal.
17. Miscellaneous
17.1. If any provision is found unenforceable, the remaining terms continue in effect.
17.2. Our failure to enforce any right does not waive that right.
17.3. These terms constitute the entire agreement between us.
17.4. We may assign our rights and obligations under these terms.
